Facebook revenue at $1.46 billion in Q1 2013, active users on the rise

Facebook's days as a public company have seen some serious ups and downs, with most of the news focusing on the down side. Today the company released its first quarter 2013 results, and overall, things are looking quite positive for the social networking giant, with a sizable increase in revenue and almost every other category.

In Q1 2013, Facebook generated $1.46 billion in revenue, compared to $1.06 billion in Q1 2012. This equates to a solid increase of 38-percent year over year. As much as $1.25 billion came from advertising, or 85% of the total, and 30% of ad revenue came from mobile ads. 

To go along with the revenue increase, the company also spent substantially more money in Q1 2013. Facebook spent $1.08 billion during the quarter, up 60% from 2012. Facebook's earnings report cites "infrastructure expense and increased headcount" as the reason for the large increase in spending. 

The social network also shows a large bump in the amount of active users over the last year. In 2013, Facebook saw 665 million active daily users worldwide, while it saw 526 million in Q1 2012. Mobile usage is also on the rise, with Facebook seeing 751 million users accessing the social network each month through smartphones and tablets. Meanwhile, Facebook-owned Instagram also saw healthy growth with more than 100 million active monthly users on the service.

All in all, Facebook ended up with a net income of $312 million and earnings of 12 cents per share.

ARM sees 44 percent profit increase in Q1 2013, ships 2.6 billion ARM-based chips



ARM has had a great quarter -- again. This time it's seen pre-tax profits soar 44 percent, while revenues are up 26 percent (to $209.4 million) since the same period last year. The company's thanking the continued adoption of its low-power chip designs, encompassing smartphones, mobile computing and even digital TVs and wearable tech. The advanced tech within its ARMv8, Mali and big.LITTLE ranges has meant the company can command higher royalties per chip.


In total, 2.6 billion ARM-based chips have made their way into the gadgets this quarter, an increase of 35 percent year-on-year, with embedded hardware up a hefty 50 percent since Q1 2012. It's seen even better performance from its Mali graphics processor shipments, which are up five times since the same period last year. As outgoing CEO Warren East notes: "Even low cost smart devices can contain multiple ARM-based chips and be based on ARM's advanced Cortex-A series technology and Mali graphics processors." With new friends on board for the near-future, the good times are likely to continue.

Microsoft posts Q3 2013 earnings, generates $6.06 billion in profit as its CFO steps down

Microsoft Reports Third-Quarter Results

Microsoft delivers record third-quarter revenue and earnings per share; CFO transition announced.

REDMOND, Wash. - Apr. 18, 2013 - Microsoft Corp. today announced quarterly revenue of $20.49 billion for the quarter ended March 31, 2013. Operating income, net income, and diluted earnings per share for the quarter were $7.61 billion, $6.06 billion, and $0.72 per share.

These financial results reflect the net recognition of revenue related to the Windows Upgrade Offer, Office Upgrade Offer and Pre-Sales, and the Entertainment and Devices Division Video Game Deferral, partially offset by the European Commission fine. The following table reconciles these financial results reported in accordance with generally accepted accounting principles (GAAP) to non-GAAP financial results. We have provided this non-GAAP financial information to aid investors in better understanding the company's performance.

"The bold bets we made on cloud services are paying off as people increasingly choose Microsoft services including Office 365, Windows Azure, Xbox LIVE, and Skype," said Steve Ballmer, chief executive officer at Microsoft. "While there is still work to do, we are optimistic that the bets we've made on Windows devices position us well for the long-term."

The Microsoft Business Division posted $6.32 billion of revenue, an 8% increase from the prior year period. Adjusting for the net recognition of revenue related to the Office Upgrade Offer and Pre-Sales, Microsoft Business Division non-GAAP revenue increased 5%. During the quarter, we launched the new Office, enhancing productivity and the user experience through new mobility, social, and cloud features.

The Server & Tools business reported $5.04 billion of revenue, an 11% increase from the prior year period, driven by double-digit percentage revenue growth in SQL Server and System Center.

"Our enterprise business continues to thrive," said Kevin Turner, chief operating officer at Microsoft. "Enterprise customers are increasingly turning to Microsoft for their IT solutions and as a result, we continue to take share from our competitors in key areas including hybrid cloud, data platform, and virtualization."

The Windows Division posted revenue of $5.70 billion, a 23% increase from the prior year period. Adjusting for the recognition of revenue related to the Windows Upgrade Offer, Windows Division non-GAAP revenue was flat. During the quarter, we added to the Surface family of devices with Surface Pro.

The Online Services Division reported revenue of $832 million, an 18% increase from the prior year period. Online advertising revenue grew 22% driven by an increase in revenue per search.

The Entertainment and Devices Division posted revenue of $2.53 billion, an increase of 56% from the prior year period. Adjusting for the recognition of revenue related to the Video Game Deferral, the division's non-GAAP revenue increased 33% for the third quarter. Xbox LIVE now has over 46 million members worldwide, an 18% increase from the prior year period.

"Our diverse business continues to deliver solid financial results, even as we navigate the evolving device market," said Peter Klein, chief financial officer at Microsoft. "Looking ahead, we will continue to invest in long-term growth opportunities to drive our devices and services strategy forward and deliver ongoing value to shareholders."

Business Outlook

Adjusting for the European Commission fine, Microsoft is revising operating expense guidance downward and now offers a range of $30.2 billion to $30.5 billion for the full year ending June 30, 2013. Microsoft also offers preliminary fiscal year 2014 operating expense guidance of $31.6 billion to $32.2 billion, representing 4% to 6% growth from the mid-point of fiscal year 2013 adjusted guidance.

CFO Transition

The company also announced Microsoft CFO Peter Klein will leave the company at the end of the current fiscal year, after nearly four years in role and 11 years at the company. Microsoft will be naming a new CFO from its finance leadership team in the next several weeks.

"It has been a pleasure to work with Peter as CFO," Ballmer said. "He's been a key member of my leadership team and a strategic advisor to me, and I wish him the very best."

"I've had a great experience as CFO and overall in my time at Microsoft," Klein said. "We have an incredibly strong finance organization, and I'm looking forward to working with my successor on the transition through the end of the fiscal year."

Presenting these measures without the impact of these items gives additional insight into operational performance and helps clarify trends affecting the company's business. For comparability of reporting, management considers this information in conjunction with GAAP amounts in evaluating business performance. These non-GAAP financial measures should not be considered as a substitute for, or superior to, the measures of financial performance prepared in accordance with GAAP.

AMD Q1 2013 earnings: softer $146 million net loss on $1.09 billion revenue

AMD Q1 2013 earnings softer $146 million net loss on $109 billion revenue


Just two days after the earnings report of its storied rival, AMD has followed suit with a Q1 2013 balance sheet of its own. The company reported a net loss for the quarter of $146 million, which stings, but isn't quite so painful as the $473 million loss that it took just one quarter earlier. Meanwhile, AMD's revenue of $1.09 billion is more or less flat from the previous quarter, but has fallen by $500 million since Q1 of the previous year. The announcement was enough to make investors wince, as AMD's stock price is now declining in after-hours trading. As for a silver lining, AMD emphasized that its gear will power the upcoming PS4. If Microsoft were to make a similar decision, then perhaps AMD could turn its financial frown upside-down.

Google Inc. Announces First Quarter 2013 Results

MOUNTAIN VIEW, Calif. – April 18, 2013 – Google Inc. (NASDAQ: GOOG) today announced financial results for the quarter ended March 31, 2013.

"We had a very strong start to 2013, with $14.0 billion in revenue, up 31% year-on-year," said Larry Page, CEO of Google. "We are working hard and investing in our products that aim to improve billions of people's lives all around the world."

Q1 Financial Summary

Google Inc. reported consolidated revenues of $13.97 billion for the quarter ended March 31, 2013, an increase of 31% compared to the first quarter of 2012. Google Inc. reports advertising revenues, consistent with GAAP, on a gross basis without deducting traffic acquisition costs (TAC). In the first quarter of 2013, TAC totaled $2.96 billion, or 25% of advertising revenues.

Operating income, operating margin, net income, and earnings per share (EPS) are reported on a GAAP and non-GAAP basis. The non-GAAP measures, as well as free cash flow, an alternative non-GAAP measure of liquidity, are described below and are reconciled to the corresponding GAAP measures at the end of this release.

GAAP operating income in the first quarter of 2013 was $3.48 billion, or 25% of revenues. This compares to GAAP operating income of $3.39 billion, or 32% of revenues, in the first quarter of 2012. Non-GAAP operating income in the first quarter of 2013 was $4.22 billion, or 30% of revenues. This compares to non-GAAP operating income of $3.94 billion, or 37% of revenues, in the first quarter of 2012.

GAAP net income including net income from discontinued operations in the first quarter of 2013 was $3.35 billion, compared to $2.89 billion in the first quarter of 2012. Non-GAAP net income in the first quarter of 2013 was $3.90 billion, compared to $3.33 billion in the first quarter of 2012.

GAAP EPS including impact from net income from discontinued operations in the first quarter of 2013 was$9.94 on 337 million diluted shares outstanding, compared to $8.75 in the first quarter of 2012 on 330 million diluted shares outstanding. Non-GAAP EPS in the first quarter of 2013 was $11.58, compared to $10.08 in the first quarter of 2012.

Non-GAAP operating income and non-GAAP operating margin exclude stock-based compensation (SBC) expense, as well as restructuring and related charges recorded in our Motorola Mobile business. Non-GAAP net income and non-GAAP EPS exclude the expenses noted above, net of the related tax benefits, as well as net income from discontinued operations. In the first quarter of 2013, the expense related to SBC and the related tax benefits were $681 million and $149 million compared to $556 million and $118 million in the first quarter of 2012. In the first quarter of 2013, restructuring and related charges recorded in our Motorola Mobile business were $66 million, and the related tax benefits were $23 million. In addition, net income from discontinued operations, in the first quarter of 2013, was $22 million.

Q1 Financial Highlights

Revenues and other information - On a consolidated basis, Google Inc. revenues for the quarter ended March 31, 2013 were $13.97 billion, an increase of 31% compared to the first quarter of 2012.

Google Revenues (advertising and other) - Google revenues were $12.95 billion, or 93% of consolidated revenues, in the first quarter of 2013, representing a 22% increase over first quarter 2012 revenues of $10.65 billion.

Google Sites Revenues – Google-owned sites generated revenues of $8.64 billion, or 67% of total Google revenues, in the first quarter of 2013. This represents an 18% increase over first quarter 2012 Google sites revenues of $7.31 billion.

Google Network Revenues – Google's partner sites generated revenues of $3.26 billion, or 25% of total Google revenues, in the first quarter of 2013. This represents a 12% increase from first quarter 2012 Google network revenues of $2.91 billion.

Other Revenues – Other revenues from Google were $1.05 billion, or 8% of total Google revenues, in the first quarter of 2013. This represents a 150% increase over first quarter 2012 other revenues of $420 million.

Google International Revenues – Google revenues from outside of the United States totaled $7.1 billion, representing 55% of total Google revenues in the first quarter of 2013, compared to 54% in the fourth quarter of 2012 and in the first quarter of 2012.

Foreign Exchange Impact on Google Revenues – Excluding gains related to our foreign exchange risk management program, had foreign exchange rates remained constant from the fourth quarter of 2012 through the first quarter of 2013, our Google revenues in the first quarter of 2013 would have been $11 million higher. Excluding gains related to our foreign exchange risk management program, had foreign exchange rates remained constant from the first quarter of 2012 through the first quarter of 2013, our Google revenues in the first quarter of 2013 would have been $110 million higher.

Google revenues from the United Kingdom totaled $1.39 billion, representing 11% of Google revenues in the first quarter of 2013, compared to 11% in the first quarter of 2012.
In the first quarter of 2013, we recognized a benefit of $35 million to Google revenues through our foreign exchange risk management program, compared to $37 million in the first quarter of 2012.
Reconciliations of our non-GAAP international revenues excluding the impact of foreign exchange and hedging to GAAP international revenues are included at the end of this release.

Paid Clicks – Aggregate paid clicks, which include clicks related to ads served on Google sites and the sites of our Network members, increased approximately 20% over the first quarter of 2012 and increased approximately 3% over the fourth quarter of 2012.

Cost-Per-Click – Average cost-per-click, which includes clicks related to ads served on Google sites and the sites of our Network members, decreased approximately 4% over the first quarter of 2012 and decreased approximately 4% over the fourth quarter of 2012.

TAC – Traffic acquisition costs, the portion of revenues shared with Google's partners, increased to $2.96 billion in the first quarter of 2013, compared to $2.51 billion in the first quarter of 2012. TAC as a percentage of advertising revenues was 25% in the first quarter of 2013, compared to 25% in the first quarter of 2012.

The majority of TAC is related to amounts ultimately paid to our Network members, which totaled $2.28 billion in the first quarter of 2013. TAC also includes amounts ultimately paid to certain distribution partners and others who direct traffic to our website, which totaled $680 million in the first quarter of 2013.

Motorola Mobile Revenues (hardware and other) – Motorola Mobile revenues were $1.02 billion, or 7% of consolidated revenues in the first quarter of 2013.

Other Cost of Revenues – Other cost of revenues, which is comprised primarily of manufacturing and inventory-related costs, data center operational expenses, amortization of intangible assets, and content acquisition costs, increased to $2.98 billion, or 21% of revenues, in the first quarter of 2013, compared to $1.28 billion, or 12% of revenues, in the first quarter of 2012.

Operating Expenses – Operating expenses, other than cost of revenues, were $4.55 billion in the first quarter of 2013, or 33% of revenues, compared to $3.47 billion in the first quarter of 2012, or 33% of revenues.

Amortization Expenses – Amortization expenses of acquisition-related intangible assets were $315 million for the first quarter of 2013. Of the $315 million, $153 million was as a result of the acquisition of Motorola, of which $116 million was allocated to Google and $37 million was allocated to Motorola Mobile.

Stock-Based Compensation (SBC) – In the first quarter of 2013, the total charge related to SBC was $697 million, compared to $556 million in the first quarter of 2012. We currently estimate SBC charges for grants to employees prior to March 31, 2013 to be approximately $2.7 billion for 2013. This estimate does not include expenses to be recognized related to employee stock awards that are granted after March 31, 2013 or non-employee stock awards that have been or may be granted.

Operating Income – On a consolidated basis, GAAP operating income in the first quarter of 2013 was $3.48 billion, or 25% of revenues. This compares to GAAP operating income of $3.39 billion, or 32% of revenues, in the first quarter of 2012. Non-GAAP operating income in the first quarter of 2013 was $4.22 billion, or 30% of revenues. This compares to non-GAAP operating income of $3.94 billion, or 37% of revenues, in the first quarter of 2012.

Google Operating Income – GAAP operating income for Google was $3.75 billion, or 29% of Google revenues, in the first quarter of 2013. This compares to GAAP operating income of $3.39 billion, or 32% of Google revenues, in the first quarter of 2012. Non-GAAP operating income in the first quarter of 2013 was $4.40 billion, or 34% of Google revenues. This compares to non-GAAP operating income of $3.94 billion in the first quarter of 2012, or 37% of Google revenues.

Motorola Mobile Operating Loss – GAAP operating loss for Motorola Mobile was $271 million, or -27% of Motorola Mobile revenues in the first quarter of 2013. Non-GAAP operating loss for Motorola Mobile in the first quarter of 2013 was $179 million, or -18% of Motorola Mobile revenues.

Interest and Other Income, Net – Interest and other income, net, was $134 million in the first quarter of 2013, compared to $156 million in the first quarter of 2012.

Income Taxes – Our effective tax rate was 8% for the first quarter of 2013.

Net Income – GAAP net income in the first quarter of 2013 was $3.35 billion, compared to $2.89 billion in the first quarter of 2012. Non-GAAP net income was $3.90 billion in the first quarter of 2013, compared to $3.33 billion in the first quarter of 2012. GAAP EPS in the first quarter of 2013 was $9.94 on 337 million diluted shares outstanding, compared to $8.75 in the first quarter of 2012 on 330 million diluted shares outstanding. Non-GAAP EPS in the first quarter of 2013 was $11.58, compared to $10.08 in the first quarter of 2012.

Cash Flow and Capital Expenditures – Net cash provided by operating activities in the first quarter of 2013 totaled $3.63 billion, compared to $3.69 billion in the first quarter of 2012. In the first quarter of 2013, capital expenditures were $1.2 billion, the majority of which was for production equipment, data center construction and facilities-related purchases. Free cash flow, an alternative non-GAAP measure of liquidity, is defined as net cash provided by operating activities less capital expenditures. In the first quarter of 2013, free cash flow was $2.43 billion.

We expect to continue to make significant capital expenditures.

A reconciliation of free cash flow to net cash provided by operating activities, the GAAP measure of liquidity, is included at the end of this release.

Cash – As of March 31, 2013, cash, cash equivalents, and marketable securities were $50.1 billion.

Headcount – On a worldwide basis, we employed 53,891 full-time employees (38,739 in Google and 9,982 in Motorola Mobile and 5,170 in Motorola Home) as of March 31, 2013, compared to 53,861 full-time employees as of December 31, 2012.

Google considers these non-GAAP financial measures to be useful metrics for management and investors because they exclude the effect of SBC, and as applicable, other special items so that Google's management and investors can compare Google's recurring core business operating results over multiple periods. Because of varying available valuation methodologies, subjective assumptions and the variety of award types that companies can use under FASB ASC Topic 718, Google's management believes that providing a non-GAAP financial measure that excludes SBC allows investors to make meaningful comparisons between Google's recurring core business operating results and those of other companies, as well as providing Google's management with an important tool for financial and operational decision making and for evaluating Google's own recurring core business operating results over different periods of time. There are a number of limitations related to the use of non-GAAP operating income versus operating income calculated in accordance with GAAP. Non-GAAP net income and EPS. Free cash flow. We define free cash flow as net cash provided by operating activities less capital expenditures. We consider free cash flow to be a liquidity measure that provides useful information to management and investors about the amount of cash generated by the business that, after the acquisition of property and equipment, including information technology infrastructure and land and buildings, can be used for strategic opportunities, including investing in our business, making strategic acquisitions, and strengthening the balance sheet. Analysis of free cash flow also facilitates management's comparisons of our operating results to competitors' operating results. A limitation of using free cash flow versus the GAAP measure of net cash provided by operating activities as a means for evaluating Google is that free cash flow does not represent the total increase or decrease in the cash balance from operations for the period because it excludes cash used for capital expenditures during the period. Last quarter, Verizon gained a record high 2.1 million subscribers, but thanks to Hurricane Sandy and pension-related charges, suffered a $1.9 billion net loss. Now that the company is releasing its Q1 2013 figures, are we going to see some of those losses trimmed back? The latest jumble of spreadsheets says yes, revealing that Big V turned a profit of $1.95 billion whilst adding 677,000 new subscribers to its wireless service -- giving it a total customer base of 98.9 million users. In the quarter, Verizon activated 7.2 million smartphones, of which 5.9 million were LTE-ready devices. It added that 28 percent of those activations were customers who had defected from other carriers.

The company's wireline business saw 188,000 FiOS Internet and 169,000 FiOS Video customers, pushing that particular sector's revenue up to $2.6 billion -- 69 percent of Verizon's consumer revenue. Customers who are hoping to trade up from DSL should take heart that Big Red has switched over 83,000 homes to fiber this year, and plans to upgrade a further 217,000 dwellings before the end of 2013. CEO Lowell McAdam was his usual upbeat self, painting a rosy picture for the company's future without mentioning that other company that begins with V it's got to deal with.

Update: Verizon got in touch to clarify that while the company raked in $4.8 billion, a big chunk of that cash which is hived off and sent back to Vodafone, which owns a 45 percent stake in the business. The figures have been amended to reflect the net income attributable to Verizon.

Nokia may have seen an operating loss of $150 million in Q1 2013, but the news isn't all bad. The company saw revenue of $7.7 billion and managed to sell 5.6 million Lumias, which equates to a 30 percent increase in handset sales over last quarter. As for earnings, Nokia put a shiny buff on them by trumpeting a net profit of $236 million using the non-IFRS method, but regardless of the method used, it's still showing lower profits than last year, when it saw a $439 million operating profit and $635 million non-IFRS.


Of the Finnish outfit's handset sales, North America accounted for a mere 400,000 out of the 61.9 million sold compared to the 700,000 it sold last quarter, making it the only region that saw a decline during the period -- though its upcoming (rumored) launch of the Lumia 928 on Verizon might help there. Other regions, like China, saw a large bump in smartphone revenues, largely due to the popularity of pricey handsets like the Lumia 920. CEO Stephen Elop said the company's bullish on Lumia sales, considering that it hasn't been selling the 620 long and the Lumia 520 and 720 just dropped into the market. He said that sales of other devices were a dark spot, however -- so the company's likely hoping the new WP8 devices will offset those lost sales next quarter.

Intel reports Q1 earnings: $12.6 billion revenue, $2 billion net income



Intel just reported a quarterly net income of $2 billion, with $12.6 billion in revenue for a total earnings of 40 cents per share. Net income is down 17 percent compared to Q4 2012, when the company reported $2.5 billion in profit. Revenue is also down by seven percent compared to the previous quarter's $13.5 billion. President and CEO Paul Otellini, who is stepping down in May, references the upcoming 14nm transition, saying that the technology will "will significantly increase the value provided by Intel architecture and process technology for our customers and in the marketplace." The earnings call is set to happen soon; we'll report back with any additional news -- on the CEO front or otherwise.

SANTA CLARA, Calif., Apr. 16, 2013 – Intel Corporation today reported first-quarter revenue of $12.6 billion, operating income of $2.5 billion, net income of $2.0 billion and EPS of $0.40. The company generated approximately $4.3 billion in cash from operations, paid dividends of $1.1 billion, and used $533 million to repurchase 25 million shares of stock.

BlackBerry makes $94 million on revenue of $2.7 billion, ships 1 million BB10 devices in 2013 Q4

This isn't quite the BlackBerry earnings story you're waiting for -- after all, the US figures covering the success (or otherwise) of the Z10 won't arrive until the next quarter. Instead, we're looking at the company's results from the end of the fiscal year to March 2nd, which shows that the smartphone maker made $94 million in GAAP income on revenues of $2.7 billion -- in contrast with the $125 million net loss it made in the same quarter last year. More importantly, however, it shipped out almost one million BlackBerry 10 devices during the three weeks of the quarter that they were available. In addition, it managed to push five million of its older smartphones and 370,000 PlayBook tablets out of the door, but saw user numbers fall from 79 million last quarter to 76 million now.


As revenue has remained relatively flat, the surge in profits can only be attributed to Thorstein Heins' aggressive cost-cutting measures, with the CEO remarking that the "numerous changes" he has implemented at the company have "resulted in [BlackBerry] returning to profitability." At the same time, Mike Lazaridis has announced that he'll retire from his position as vice-chair and director of the outfit he founded the better part of three decades ago. He'll exit the business on May 1st so that he can concentrate on his new enterprise, Quantum Valley Investments.


Update: During the conference call, Thorsten Heins has revealed that around two-thirds or three-quarters of the one million BB10 devices shipped have been sold.

In a bid to bolster its bottom line, Sony's been selling properties like a desperate monopoly player, and the latest space on the board to go is the Sony City Osaki building for 111.1 billion yen ($1.2 billion). That follows the sale of its NY headquarters for a similar sum, and the move of its mobile HQ from Sweden to Tokyo. The Osaki building has been purchased by a Japanese holding company who will lease the building back to Sony for a period of at least five years, which seems to be the trend for electronics companies lately. The Japanese conglomerate said all the property deals are being made to "transform its business portfolio and reorganize its assets." Translation? Sony needs the cash, natch.

Sprint announced its quarterly (and annual) results today, with overall revenues totaling $9 billion, up from the preceding quarter. Its wireless services formed $7 billion of that, but Hurricane Sandy was responsible for a $45 million hit to its bottom line. Sprint added that it's been able to sell 2.2 million iPhones, while its LTE network, launched last July, now handles more than 3 million connections. The network picked up 401,000 new post-paid subscribers in the process, but according to the figures, shedded 1 million existing ones from the Nextel part of the business. Its future owner, Softbank, was briefly mentioned in passing -- the Now Network received a $3.1 billion bond from the Japanese phone network for the merger.

("Virgin Media") (NASDAQ: VMED; LSE: VMED) today announced that they have entered into an agreement, subject to shareholder approvals, pursuant to which Liberty Global will acquire Virgin Media in a stock and cash merger valued at approximately $23.3 billion.

Under the terms of the agreement, Virgin Media shareholders will receive $17.50 in cash, 0.2582 Liberty Global Series A shares and 0.1928 Liberty Global Series C shares for each Virgin Media share that they hold. Based on Liberty Global's Series A share price of $69.46 and Series C share price of $64.50 as of February 4, 2013, this implies a price of $47.87 per Virgin Media share, reflecting a 24% premium to Virgin Media's closing price on February 4, 2013.

Transaction Details

The implied purchase price, before taking into account transaction costs and other expenses, represents an equity value of approximately $16.0 billion and an enterprise value of approximately $23.3 billion. This represents a purchase price multiple of 8.8 times Virgin Media's 2012 OCF, and 7.0 times Virgin Media's 2013 estimated OCF, after taking into consideration the expected annual impact of approximately $110 million of operating synergies that may be realized following full integration and after adjusting the consideration to be paid for certain tax assets.

The equity purchase price will consist of a combination of shares and cash. Based on Virgin Media's fully-diluted shares of 335 million, Liberty Global would issue approximately 86 million Liberty Global Class A shares and 65 million Liberty Global Class C shares (in each case such shares will be shares of the plc with substantially similar rights as the existing Series A and Series C common stock of Liberty Global, as applicable). In addition, each issued and outstanding share of Liberty Global common stock will be exchanged for one share of a class of ordinary shares of a newly-formed UK public limited company (plc) carrying substantially similar rights as the existing series of Liberty Global common stock exchanged. Based on issued and outstanding shares of Liberty Global as of February 1, 2013 and adjusting for the transaction, it is expected that Virgin Media shareholders will own approximately 36% of the pro forma shares outstanding of Liberty Global and have approximately 26% of the voting rights.

The cash component of the equity purchase price, totaling approximately $5.9 billion, will be funded largely through a combination of debt financing and available liquidity of both Liberty Global and Virgin Media. We intend to increase Virgin Media's debt by more than $3.0 billion, such that on a pro forma basis, Virgin Media's debt will fall well within our normal leverage target of four to five times annualized OCF. Together with the net proceeds of Virgin Media's debt financing, the transaction will be funded with cash and other sources of liquidity of Virgin Media and cash and borrowing availability under Liberty Global's existing credit facilities. Adjusting for the transaction and completion of the intended financings, we estimate the leverage on the combined company would have been approximately 5 times at December 31, 2012, which would serve as a modest deleveraging event for current Liberty Global shareholders. We are targeting mid-4's leverage by year-end 2014.

As part of its acquisition of Virgin Media, Liberty Global will redomicile from Delaware to the United Kingdom by becoming a subsidiary of a new holding company, a UK plc. Liberty Global's current headquarters and other principal offices will remain in place. Liberty Global will be listed on NASDAQ and will continue to report earnings and other financial statements in accordance with Securities and Exchange Commission regulations, including dollar denominated financial statements. Liberty Global's Board of Directors will continue to form the board of Liberty Global, with the addition of one Virgin Media director to be named prior to the closing. Liberty Global believes that the creation of a UK plc as a new holding company will have several business and financial benefits, including increased strategic and financial flexibility, as it pertains to value creation for its shareholders. After closing of the transaction, Liberty Global may look to implement a European listing. Virgin Media will continue to operate under the Virgin Media brand in the UK.

Based upon facts and circumstances as of the date of announcement, Liberty Global believes that the share exchange as structured may not be taxable to U.S. shareholders of Liberty Global. However, the ultimate tax treatment of the share exchange is not certain and is dependent upon the facts and circumstances at the closing date, which are difficult to predict and are outside of Liberty Global's control. The transaction is not conditioned upon a determination as to the tax treatment for Liberty Global stockholders. Further details will be provided in the proxy statement which will be designed to enable Liberty Global shareholders to evaluate the tax treatment with their own tax advisors.

The transaction is subject to majority approval from both companies' shareholders, regulatory approvals and other customary closing conditions. The respective shareholder meetings, as well as the closing of the transaction, are expected to occur in the second quarter of 2013. Through certain trust arrangements, Mr. John Malone controls in excess of 35% of the voting power of Liberty Global, and he has committed to support the transaction in his capacity as a shareholder.

Credit Suisse also acted as financial advisor and sole global coordinator and consent solicitation agent for the debt financing. ROUND ROCK, Texas--(BUSINESS WIRE)--Dell Inc. today announced it has signed a definitive merger agreement under which Michael Dell, Dell's Founder, Chairman and Chief Executive Officer, in partnership with global technology investment firm Silver Lake, will acquire Dell.

"Silver Lake is looking forward to partnering with him, the talented management team at Dell and the investor group to innovate, invest in long-term growth initiatives and accelerate the company's transformation strategy to become an integrated and diversified global IT solutions provider."
Under the terms of the agreement, Dell stockholders will receive $13.65 in cash for each share of Dell common stock they hold, in a transaction valued at approximately $24.4 billion. The price represents a premium of 25 percent over Dell's closing share price of $10.88 on Jan. 11, 2013, the last trading day before rumors of a possible going-private transaction were first published; a premium of approximately 35 percent over Dell's enterprise value as of Jan. 11, 2013; and a premium of approximately 37 percent over the average closing share price during the previous 90 calendar days ending Jan. 11, 2013. The buyers will acquire for cash all of the outstanding shares of Dell not held by Mr. Dell and certain other members of management.

The Dell Board of Directors acting on the recommendation of a special committee of independent directors unanimously approved a merger agreement under which Michael Dell and Silver Lake Partners will acquire Dell and take the company private subject to a number of conditions, including a vote of the unaffiliated stockholders. Mr. Dell recused himself from all Board discussions and from the Board vote regarding the transaction.

A Special Committee was formed after Mr. Dell first approached Dell's Board of Directors in August 2012 with an interest in taking the company private. Led by Lead Director Alex Mandl, the Special Committee retained independent financial and legal advisors J.P. Morgan and Debevoise & Plimpton LLP to advise the Special Committee with respect to its consideration of strategic alternatives, the acquisition proposal and the subsequent negotiation of the merger agreement.

The Special Committee also engaged a leading management consulting firm to conduct an independent analysis, including a review of strategic alternatives for Dell and opportunities for the company as a public entity, and thereafter engaged Evercore Partners.

The merger agreement provides for a so-called "go-shop" period, during which the Special Committee – with the assistance of Evercore Partners – will actively solicit, receive, evaluate and potentially enter into negotiations with parties that offer alternative proposals. The initial go-shop period is 45 days. Following that period, the Special Committee will be permitted to continue discussions and enter into or recommend a transaction with any person or group that submitted a qualifying proposal during the 45-day period. A successful competing bidder who makes a qualifying proposal during the initial go-shop period would bear a $180 million (less than 1 percent) termination fee. For a competing bidder who did not qualify during the initial go-shop period, the termination fee would be $450 million.

Dell will continue to be headquartered in Round Rock, Texas.

The transaction will be financed through a combination of cash and equity contributed by Mr. Dell, cash funded by investment funds affiliated with Silver Lake, cash invested by MSD Capital, L.P., a $2 billion loan from Microsoft, rollover of existing debt, as well as debt financing that has been committed by BofA Merrill Lynch, Barclays, Credit Suisse and RBC Capital Markets (in alphabetical order), and cash on hand. There is no financing condition.

The transaction is subject to other customary conditions, including receipt of required regulatory approvals, in addition to the Dell stockholder approvals described above. The transaction is expected to close before the end of the second quarter of Dell's FY2014.

Fourth Quarter 2012 Financial Highlights

Revenue - Revenue for the fourth quarter totaled $1.585 billion, an increase of 40%, compared with $1.13 billion in the fourth quarter of 2011.

Revenue from advertising was $1.33 billion, representing 84% of total revenue and a 41% increase from the same quarter last year. Excluding the impact of year-over-year changes in foreign exchange rates, advertising revenue would have increased by 43%.
Payments and other fees revenue for the fourth quarter was $256 million. As planned, in the fourth quarter of 2012 the company recognized revenue from four months of Payments transactions for accounting reasons detailed in our Form 10-Q filed on October 24, 2012. Adjusting for the $66 million of revenue in the extra month of December, Payments and other fees revenue would have been essentially flat year-over-year.
Costs and expenses - Fourth quarter costs and expenses were $1.06 billion, an increase of 82% from the fourth quarter of 2011. Excluding share-based compensation and related payroll tax expenses, non-GAAP costs and expenses were $849 million, an increase of 67%.

Income from operations - For the fourth quarter, GAAP income from operations was $523 million, compared to income from operations of $548 million for the fourth quarter of 2011. Excluding share-based compensation and related payroll tax expenses, non-GAAP income from operations for the fourth quarter was $736 million, compared to $624 million for the fourth quarter of 2011.

Operating margin - GAAP operating margin was 33% for the fourth quarter, compared to 48% for the fourth quarter of 2011. Excluding share-based compensation and related payroll tax expenses, non-GAAP operating margin was 46% for the fourth quarter, compared to 55% for the fourth quarter of 2011.

Income tax provision - The GAAP income tax provision for the fourth quarter was $441 million, representing an 87% effective tax rate. Excluding share-based compensation expense and related payroll tax expenses, the non-GAAP effective tax rate would have been approximately 41%.

Net income - GAAP net income for the fourth quarter was $64 million, compared to net income of $302 million for the fourth quarter of 2011. GAAP EPS for the fourth quarter was $0.03, compared to $0.14 for the same quarter in the prior year. Excluding share-based compensation and related payroll tax expenses, and income tax adjustments, non-GAAP net income for the fourth quarter was $426 million, or $0.17 per share, compared to $360 million and $0.15 per share for the same quarter in the prior year.

Capital expenditures - Purchases of property and equipment for the fourth quarter were $198 million. Additionally, $89 million of equipment was procured or financed through capital leases during the fourth quarter of 2012.

Cash and marketable securities - As of December 31, 2012, cash and marketable securities were $9.63 billion.

Qualcomm Q1 2013 earnings: $1.91 billion in profit on revenues of $6 billion



The folks in San Diego are making it rain once again, as Qualcomm has just announced its earnings for the quarter with $6 billion in revenues, which represents a 29 percent year-over-year increase and a new record for the firm. It seems the company's Snapdragon chips are everywhere you look these days, and it should come as no surprise that Qualcomm also hauled in a profit of $1.91 billion, which is a 36 percent hike over the previous year. Seeing that the company is so well off, it's also announced a cash dividend payment of $428 million that will go back to shareholders, along with stock repurchases in the amount of $250 million. In case you were wondering, Qualcomm managed to push 182 million of its SoC's out the door during Q1, which represents a 17 percent year-over-year increase. With the Snapdragon 800 due by mid-year, we've a feeling that it'll keep raining in San Diego for some time -- even if the nice weather says otherwise.

Lenovo's Q3 sees sales reach $9.4 billion, profits rise to $200 million

While big chunks of the industry may be feeling gloomy, the artist formerly known as IBM's PC Division keeps on raking in money. Lenovo's third quarter earnings report reveals that the company sold $9.4 billion worth of hardware, keeping $200 million of that back for itself in net profit. It's also seen its Chinese smartphone business turn a profit, and is now eyeing Russia as the next land ripe for conquering. Lenovo's corporate mattress is so stuffed that it probably smells of money, as the company has squirreled away $4.2 billion for a rainy day, or, you know, something else.

SEATTLE, Jan 29, 2013 (BUSINESS WIRE) -- Amazon.com, Inc. AMZN +11.16% today announced financial results for its fourth quarter ended December 31, 2012.

Operating cash flow increased 7% to $4.18 billion for the trailing twelve months, compared with $3.90 billion for the trailing twelve months ended December 31, 2011. Free cash flow decreased 81% to $395 million for the trailing twelve months, compared with $2.09 billion for the trailing twelve months ended December 31, 2011. Free cash flow for the trailing twelve months ended December 31, 2012 includes fourth quarter cash outflows for purchases of corporate office space and property in Seattle, Washington, of $1.4 billion.

Common shares outstanding plus shares underlying stock-based awards totaled 470 million on December 31, 2012, compared with 468 million one year ago.

Net sales increased 22% to $21.27 billion in the fourth quarter, compared with $17.43 billion in fourth quarter 2011. Excluding the $178 million unfavorable impact from year-over-year changes in foreign exchange rates throughout the quarter, net sales grew 23% compared with fourth quarter 2011.

Operating income increased 56% to $405 million in the fourth quarter, compared with $260 million in fourth quarter 2011. The favorable impact from year-over-year changes in foreign exchange rates throughout the quarter on operating income was $2 million.

Net income decreased 45% to $97 million in the fourth quarter, or $0.21 per diluted share, compared with $177 million, or $0.38 per diluted share, in fourth quarter 2011.

Full Year 2012

Net sales increased 27% to $61.09 billion, compared with $48.08 billion in 2011. Excluding the $854 million unfavorable impact from year-over-year changes in foreign exchange rates throughout the year, net sales grew 29% compared with 2011.

Operating income decreased 22% to $676 million, compared with $862 million in 2011. The unfavorable impact from year-over-year changes in foreign exchange rates throughout the year on operating income was $14 million.

Net loss was $39 million, or $0.09 per diluted share, compared with net income of $631 million, or $1.37 per diluted share, in 2011.

AT&T lost $3.9 billion in Q4 2012, earned $7.3 billion profit for the year

American telecommunications giant AT&T announced its Q4 2012 financial results this afternoon, which reflect $3.9 billion in losses for Ma Bell's final fiscal quarter of last year. However, the company's also posting "record smartphone sales" of 10.2 million last quarter -- "the most by any US carrier," it claims. As it's Q4, the results for the full year are also in; AT&T revealed $7.3 billion in net income across the entirety of 2012. That's what we'd call a marked change from last year's losses.


In terms of phones, AT&T activated 8.6 million new iPhone customers (16 percent of which were totally new to the company), up 1 million over 2011's Q4 and nearly double that of Q3 2012. No specific number is given on Android sign-ups, but AT&T's calling it the "best-ever sales quarter for Android smartphones" -- when those 8.6 million iPhones are subtracted from the overall Q4 2012 sales of phones (10 million), it's not looking so good for non-Apple built devices. On the U-verse front, the latest lifetime subscriber numbers reflect 8 million TV and high-speed internet users, with 192K joining in Q4 2012.


Operating revenues just barely exceeded those of 2011, reaching $127.4 billion, offset by $114.4 billion in expenses (down $3 billion over 2011). Customer numbers also grew in 2012, by a healthy 1.086 million people, the vast majority of which are contract customers (approximately 70 percent). Needless to say, things seem to have gone pretty okay for AT&T in 2012, despite a rocky final quarter. Not too bad for the least loved mobile carrier in the US.

Microsoft Reports Record Revenue of $21.5 Billion in Second Quarter
Strong business demand and key product launches drive record revenue.

REDMOND, Wash. - Jan. 24, 2013 - Microsoft Corp. today announced quarterly revenue of $21.46 billion for the quarter ended December 31, 2012. Operating income, net income, and diluted earnings per share for the quarter were $7.77 billion, $6.38 billion, and $0.76 per share.

These financial results reflect the net deferral of revenue for the Windows Upgrade Offer, Office Upgrade Offer and Pre-sales, and the Entertainment and Devices Division Video Game Deferral, partially offset by the recognition of previously deferred revenue for Windows 8 Pre-sales. The following table reconciles these financial results reported in accordance with generally accepted accounting principles (GAAP) to non-GAAP financial results. We have provided this non-GAAP financial information to aid investors in better understanding the company's performance.

The Windows Division posted revenue of $5.88 billion, a 24% increase from the prior year period. Adjusting for the net deferral of revenue for the Windows Upgrade Offer and the recognition of the previously deferred revenue from Windows 8 Pre-sales, Windows Division non-GAAP revenue increased 11% for the second quarter. Microsoft has sold over 60 million Windows 8 licenses to date.

"We saw strong growth in our enterprise business driven by multi-year commitments to the Microsoft platform, which positions us well for long-term growth," said Peter Klein, chief financial officer at Microsoft. "Multi-year licensing revenue grew double-digits across Windows, Server & Tools, and the Microsoft Business Division."

The Server & Tools business reported $5.19 billion of revenue, a 9% increase from the prior year period, driven by double-digit percentage revenue growth in SQL Server and System Center.

With the launch of SQL Server 2012 and Windows Server 2012, we continue to see healthy growth in our data platform and infrastructure businesses and win share from our competitors," said Kevin Turner, chief operating officer at Microsoft. The Microsoft Business Division posted $5.69 billion of revenue, a 10% decrease from the prior year period. Adjusting for the impact of the Office Upgrade Offer and Pre-sales, Microsoft Business Division non-GAAP revenue increased 3% for the second quarter. Revenue from Microsoft's productivity server offerings – collectively including Lync, SharePoint, and Exchange – continued double-digit percentage growth.

The Online Services Division reported revenue of $869 million, an 11% increase from the prior year period. Online advertising revenue grew 15% driven by an increase in revenue per search.

The Entertainment and Devices Division posted revenue of $3.77 billion, a decrease of 11% from the prior year period. Adjusting for the Video Game Deferral, the division's non-GAAP revenue decreased 2% for the second quarter. Xbox continues to be the top-selling console in the United States. During the quarter, Microsoft launched Windows Phone 8 with a broad array of carriers and devices.

Business Outlook

Microsoft reaffirms fiscal year 2013 operating expense guidance of $30.3 billion to $30.9 billion.
